About the Role:

We are seeking an experienced and strategic Legal Manager, based in Singapore, to lead our Company's global legal strategy and projects.

This person will oversee all legal domains, including fundraising, intellectual property (patents and trademarks), permitting, international contracts, corporate structuring, entities formations, compliance, and other legal matter, ensuring that Company's global expansion is legally sound, efficient, and aligned with our mission.

This is a leadership role reporting directly to the CEO and COO, and will involve close collaboration with investors, R&D, supply chain, regulatory authorities, and external counsel in multiple jurisdictions.

Scope of Work:
  1. Legal Fundraising & Corporate Governance

  2. Oversee all legal documentation for fundraising rounds (e.g., SAFEs, convertible notes, equity agreements).

  3. Manage cap table updates, investor due diligence, and securities compliance across jurisdictions (Singapore, EU, US).
  4. Support international corporate restructuring and entity formation for expansion (e.g., Portugal subsidiary).
  5. Maintain a secure data room and ensure proper documentation for all transactions.

  6. Intellectual Property (Patents, Trademarks, Trade Secrets)

  7. Manage the company's global IP strategyacross patents, trademarks, and trade secrets together with a specialized firm in charge of it.

  8. Coordinate with R&D and external IP counsel to evaluate patentability, draft, file, and manage global patent portfolios with third parties.
  9. Oversee the trademarking of brand names, materials, and technologies globally with third party providers.

  15. Anticipate legal and regulatory risks related to new materials, technologies, or export/import regulations.

  16. International Contracts & Commercial Law

  17. Draft, review, and negotiate international commercial contracts, including supplier agreements, offtake agreements, licensing deals, and strategic partnerships.

  18. Establish standardized contract frameworks to ensure alignment with Company's IP and business strategy.
  19. Manage cross-border legal issues, including distribution, confidentiality, and joint venture agreements.

The Legal Manager will be based in Singapore and responsible for providing legal support for a variety of issues in customer contract negotiations, researching and enabling the launch of new products and services as well as regulatory and trade compliance support.
