About the role:

We are seeking an experienced and highly-motivated General Counsel to head our legal function and play a pivotal leadership role within a fast-growing digital bank. Based in Singapore, you will report directly to the CEO and serve as the chief legal advisor to senior management across the group.

You will be responsible for leading and growing the legal team, overseeing all legal, regulatory and corporate governance matters and partner closely with business leaders across the group. You will be involved in advising business teams on a variety of matters, including financial regulations, legal risks, innovative and new-to-market banking products, tech and commercial matters, fund raising, corporate governance and other projects.

Your responsibilities:

  • Provide strategic legal advice to the Board of Directors, CEO and other senior management.
    • Lead, develop, and manage the legal team to ensure high-quality support across all business lines.
      • Oversee legal, regulatory, and corporate governance matters for the group and its subsidiaries.
        • Drive legal and regulatory risk management, ensuring robust frameworks and proactive risk mitigation.
          • Advise on financial regulations, innovative and bespoke banking products, commercial, tech, and corporate matters, M&A, fundraising, and strategic transactions.
            • Partner with cross-border teams to support global expansion and market entry initiatives.
              • Lead the drafting, review, and negotiation of key contracts and agreements, including high-value strategic partnerships.
                • Oversee engagement with regulators and manage relationships with external counsel across multiple jurisdictions.
                  • Ensure the bank's policies, processes, and practices reflect compliance with applicable laws and best practices.
                    • Contribute as a member of the senior leadership team, influencing strategy, culture, and risk management across the business.

                    Key Requirements:

                    • Bachelor's/Master's Degree/JD from a reputable law school.
                      • Qualified to practise in Singapore, Hong Kong, UK, U.S. or other common law countries.
                        • At least 12–15 years PQE, with a strong mix of top-tier law firm and in-house experience.
                          • Significant expertise in financial regulations, banking, and financial services. Experience and/or interest in digital assets will be an advantage.
                            • Proven track record of leadership in managing legal teams and advising senior stakeholders.
                              • Commercially minded with the ability to balance risk with business needs in a fast-moving environment.
                                • Strong communicator with excellent interpersonal and negotiation skills.

We are seeking an experienced, strategic, and dynamic General Counsel to serve as a key member of our executive leadership team. You will be responsible for leading our global legal, compliance, regulatory affairs, and corporate governance functions. Your primary mission is to
lead and successfully execute our planned US public listing
and, in the process, build a world-class legal and risk management framework capable of supporting our global scale and growth.
Key Responsibilities
Capital Strategy and IPO Execution (Primary Focus)
Lead the US IPO Process:
Take full ownership of all legal aspects of the company's Initial Public Offering (IPO) on a US stock exchange (e.g., NYSE or NASDAQ).
Strategic Advisor:
Act as the chief legal advisor to the executive team and Board of Directors on all IPO-related matters, including structure, timeline, compliance, and risk.
External Counsel Management:
Lead, coordinate, and manage relationships with external legal counsel, underwriters, auditors, and other advisors involved in the IPO.
Document Drafting and Review:
Oversee and deeply engage in the preparation, review, and finalization of all IPO-related legal documents, including the registration statement (F-1), governance charters, and more.
Ensure Compliance:
Ensure the company's full compliance with all SEC and other relevant regulatory requirements before, during, and after the public listing.
Legal and Compliance Leadership
Corporate Governance:
Establish and maintain robust corporate governance standards for a public company, supporting the Board of Directors and its committees (Audit, Compensation, Nominating & Governance).
Compliance Framework:
Build and enhance a global compliance program covering anti-corruption (FCPA), antitrust, trade compliance, data privacy & security (GDPR, CCPA), and export controls.
M&A and Financing:
Lead legal due diligence, structuring, negotiation, and execution for strategic investments, financing rounds, joint ventures, and M&A transactions.
Commercial Contracts:
Guide the team in reviewing and negotiating complex commercial agreements, including global strategic partnerships, major sales and procurement contracts, and technology licensing agreements.
IP Strategy:
Work closely with the technology team to develop and implement a global intellectual property strategy, managing patents, trademarks, copyrights, and trade secrets.
Dispute Resolution:
Manage significant litigation, arbitration, and other dispute resolution proceedings.
Team Management and Strategic Collaboration
Build, mentor, and lead a high-performing global legal team.
Act as a key member of the executive team, actively participating in strategic decision-making and providing proactive legal and risk counsel.
Collaborate closely with cross-functional departments (Finance, HR, Business Development, R&D) to support overall business objectives.
Qualifications
Mandatory Requirements:
Juris Doctor (J.D.) or equivalent law degree from a recognized law school in the US, China, or other common law jurisdiction, with active bar membership in good standing.
A minimum of 15 years of legal experience, including a senior role at a top-tier law firm or as in-house counsel at a high-growth multinational technology company.
Must have a proven track record of leading at least one company through a complete US IPO process and deep familiarity with post-IPO ongoing compliance obligations.
Extensive expertise in US securities laws, Sarbanes-Oxley Act (SOX), and stock exchange listing rules.
Demonstrated excellence in corporate governance, M&A, complex commercial negotiations, and compliance management within a multinational context.
Outstanding communication, negotiation, and leadership skills in both English and Mandarin Chinese, with the ability to effectively liaise with internal and external stakeholders.
Exceptional business acumen and strategic thinking, with the ability to translate complex legal issues into practical business solutions.
Ability to thrive in a fast-paced, high-growth technology environment, demonstrating adaptability and resilience.
Preferred Qualifications:
Prior in-house experience within the green tech, renewable energy, IoT, or SaaS industries.

We’re looking for our first General Counsel to join as a key senior leader providing strategic advice on all aspects of our business. This is a hands‐on role that requires a blend of legal expertise, business acumen and an entrepreneurial spirit to co‐create innovation that has never existed before and to be bold in the face of challenging deep rooted institutions that are stubborn to change. Key Responsibilities
Contracts & Commercial Law: Draft, review, and negotiate a wide range of commercial contracts, including supply agreements, vendor contracts, partnership agreements, and customer contracts. A deep expertise in contracts law is essential.
Startup Fundraising: Provide legal support and guidance throughout our fundraising cycles, including due diligence, term sheet negotiations, and closing documentation. Experience with venture capital funding and private equity is highly preferred.
International Expansion: Advise on legal and regulatory requirements for our expansion into new markets, specifically Australia and the U.S. This includes international trade regulations, export controls, and import/export compliance.
Corporate Governance: Manage corporate governance, including board resolutions, legal entity management, and compliance with all relevant laws and regulations in Singapore, Malaysia, Australia, and the U.S.
Intellectual Property (IP): Oversee our IP portfolio, including patents, trademarks, and trade secrets, and advise on IP strategy and enforcement.
Risk Management & Compliance: Identify and mitigate legal risks across the organization. Develop and implement company policies and procedures to ensure compliance with all applicable laws and regulations.

**Summary:**
Meta seeks a highly motivated team player to serve as Associate General Counsel, Compliance. This position will play a key role in advising on Meta's compliance with legal and regulatory requirements focused on anti-corruption compliance, and in supporting global trade and other broader compliance initiatives. This full-time position will be located in Singapore. This is a great opportunity to join a growing legal team and to work on novel issues in an exciting, fast-paced environment.
**Required Skills:**
Associate General Counsel, Compliance Responsibilities:
1. Provide legal and strategic advice to internal clients on compliance with global anti-corruption laws, including the U.S. Foreign Corrupt Practices Act (FCPA), as well as on compliance with other legal and regulatory requirements
2. Collaborate cross-functionally with other teams across the company to assess and mitigate anti-corruption and other compliance risks related to business initiatives and transactions
3. Assist in the development, implementation, and continuous improvement of policies, processes, and controls intended to prevent corruption and fraud, and in the remediation of issues identified in audits and investigations
4. Manage, conduct, and/or advise on anti-corruption risk assessments, audits, and third-party oversight
5. Develop and provide training and communications to employees and third parties
6. Undertake special projects and support other compliance program initiatives
7. Review, develop, and advise on anti-corruption compliance provisions in contracts
**Minimum Qualifications:**

8. Meta requires all employed attorneys to have a law degree or equivalent certificate to permit the practice of law and be appropriately licensed and authorized to practice law for the company in their assigned work location. Unless prohibited under local law, an attorney must hold a current practicing certificate (including where required from the relevant authority in the jurisdiction of the assigned work location) or the local law equivalent bar registration or license as may be applicable
9. J.D. degree and membership in at least one U.S. state bar or foreign equivalent
10. 8+ years of legal experience, including 4+ years conducting corporate anti-corruption compliance investigations or working on anti-corruption compliance-related matters, including matters relating to the U.S. FCPA, either in government, in-house, or at a global law firm
11. Record of legal and business judgment and strategic thinking
12. Experience working with varied cross-functional teams

13. Experience working in-house or advising clients at telecommunications, internet, and/or industries engaged in large scale infrastructure projects
14. Experience with anti-corruption compliance-related matters, for example conducting anti-corruption due diligence in connection with corporate transactions, managing and advising on anti-corruption risk assessments, and supporting anti-corruption control design and testing
15. Experience drafting and negotiating anti-corruption and global trade compliance contract provisions
16. Experience mapping and counseling on legal import and export requirements for international movements of physical goods, and handling sanctions, export, and import compliance issues
17. Familiarity with other compliance risk areas (e.g., competition, political activities)

Global General Counsel
to lead its legal function. The ideal candidate is currently in a global general counsel or equivalent senior legal role, with strong experience in litigation, M&A, and complex contract drafting. This role requires a strategic thinker who thrives in fast-paced environments and takes full ownership of legal matters across jurisdictions.
Responsibilities
Lead all legal matters globally, including commercial contracts, litigation, and M&A.
Draft and negotiate bespoke agreements for solution-based offerings.
Manage litigation and disputes, coordinating with external counsel.
Support M&A activities from due diligence to integration.
Advise leadership on legal risk, compliance, and governance.
Build and scale the legal function with full ownership.
Qualifications
15+ years PQE with global legal leadership experience.
Strong experience in contract drafting, litigation management, and M&A.
Strategic problem solver with excellent stakeholder management skills.
Comfortable operating independently in a fast-paced, high-growth environment.
Law degree and admission to practice in at least one jurisdiction.
