Responsibilities:

  • Liaise with regulators on regulatory requirements and compliance filing
  • Manage and update the firm's compliance policies and framework
  • Work with other teams on KYC/AML review on investors, CRS/FATCA filing
  • Keep track of new regulatory development and provide updates to the firm
  • Identify any potential compliance issues and provide solutions to the business

Requirements

  • Bachelor of Laws from a recognised institution; called to the bar in a Common Law jurisdiction.
  • Minimally 3 - 8 years of PQE, ideally in M&A/Private Equity practice or as an in-house counsel in startups.
  • Strong foundation in corporate/commercial law and secretarial matters; familiarity with startup funding structures and SEA markets.
  • Excellent drafting and negotiation skills; confident in managing equity and debt structures for early to growth-stage companies.

The ideal candidate will be comfortable in managing end-to-end legal processes for their portfolio companies from incorporation to exit, including compliance, audits, and corporate governance. The ideal candidate is an individual contributor who is adaptable and entrepreneurial, and motivated by innovation, venture building, and long-term impact.
Key Responsibilities
Manage legal matters across the full company lifecycle, including incorporation, exits, and strike-offs
Draft and negotiate investment documents (Term Sheets, CLAs, SHAs, Subscription Agreements) across SEA
Advise on commercial contracts, including NDAs, MOUs, partnership, service, and licensing agreements
Support compliance and audit processes; identify and resolve non-compliance issues
Develop and implement internal governance and compliance frameworks
Oversee corporate secretarial matters and liaise with external service providers
Provide legal support on other matters as needed
Requirements
Bachelor of Laws from a recognised institution; called to the bar in a Common Law jurisdiction.
Minimally 3 - 8 years of PQE, ideally in M&A/Private Equity practice or as an in-house counsel in startups.
Strong foundation in corporate/commercial law and secretarial matters; familiarity with startup funding structures and SEA markets.
Excellent drafting and negotiation skills; confident in managing equity and debt structures for early to growth-stage companies.
