Transactional Legal Counsel - Investment Banking | Full-Time Position in Singapore
This is a full-time, on-site position based in Singapore, supporting a wide range of cross-border investment banking transactions, including mergers and acquisitions, fundraising (equity and/or debt), joint ventures, and strategic investments in both public and private companies.
The role offers direct involvement in structuring and executing complex deals, including drafting and negotiating transaction documentation, conducting legal due diligence, and ensuring regulatory compliance.
The candidate will be actively engaged in the full deal cycle, from initial structuring and term sheets to final closing and post-deal integration.
This position offers a unique opportunity to work on cross-border investment banking transactions with a legal focus, while developing commercial acumen alongside legal expertise.
Key Responsibilities:
1. Manage the planning, structuring, coordination & execution of transactions/deals
2. Provide legal advice on commercial and corporate (including governance) matters, and contribute to risk and commercial issues analysis
3. Research and advise on relevant laws and regulatory requirements
4. Draft, review and negotiate all relevant documents for the execution of deals and transactions
5. Conduct due diligence where necessary

You will attend meetings with MAS on specific transactions where required and work with the IB Administrative Officer on the logistics issues for IPO launch.
You will perform peer group analysis of IPO and/or debt issuance candidates as an input to pricing. You will arrange for clients to meet with potential institutional investors at closed-door sessions during book-building, prepare IBC papers on underwriting and placement commitments. You will liaise with solicitors, companies and other financial institutions in the preparation of the underwriting and placement agreements, including sub-underwriting or sub-placement agreement. You will check to ensure that final placee list numbers tally with issue parameters, monitor subscription levels and keep IBC members informed and will prepare the balloting spreadsheet and announcement.

- Degree majoring in Finance, Accounting, Business Administration or a related discipline
- Possess at least 10 years of investment banking experience
