Job Description:

• We are seeking a highly skilled and experienced professional to oversee the legal affairs of our organization in the region. This role will involve providing legal advice and support to management teams, operational units, and corporate functions.

Key Responsibilities:

1. Legal Advisory: Draft, review, and negotiate commercial contracts, agreements, and legal documents for local business operations.
2. Regulatory Compliance: Ensure group companies comply with applicable local laws and regulations, including those relating to economic sanctions related matters, competition laws, and industry-specific requirements.
3. Corporate Governance: Assist in developing and reviewing corporate governance framework, policies, and procedures to align with legal requirements and industry best practices.
4. Transaction Support: Offer legal support for corporate restructuring, M&A transactions, joint ventures, or business transfers affecting group companies within the region.

Requirements:

• Bachelor's degree in economics, law, or a related field.
• Minimum 8 years' experience in the global shipping business, with a focus on sales, subsidiary management, legal support, and project management.
• Strong knowledge and hands-on experience in preparing contracts, particularly vessel Charter Parties and corporate service agreements.
• Proficient and fluent in both English and Japanese (written and verbal) to effectively communicate with headquarters in Tokyo, Japan.
• Solid understanding of corporate, commercial, and regulatory laws, including but not limited to corporate acts, competition laws, anti-corruption laws, sanctions, and trade control.
• Exposure to cross-border legal matters and multi-jurisdiction is a plus.
• Excellent drafting, negotiation, and communication skills.

• Handle responses to security incidents and audits from government and customers.

Required Qualifications

• Juris Doctor (JD) or equivalent legal degree with 9+ years of legal experience, including leadership roles and strategic initiatives.
• Or equivalent experience.
• Active license to practice law in a relevant jurisdiction.
• Proven experience in corporate law, regulatory compliance, and litigation management.

Preferred Qualifications

• Experience in multinational corporations or the technology sector is preferred.
• Strong business acumen with pragmatic legal advice skills.

The Area Head of Legal Affairs, ASEAN at Microsoft is a strategic leadership role responsible for overseeing all legal matters within Southeast Asia. This position plays a critical role in shaping and executing Microsoft’s legal strategy, ensuring compliance, managing risk, and enabling business success. The role requires a seasoned legal professional with deep expertise in corporate law and team leadership. Note: there is flexiblity in the role location to be based in Microsoft sites within ASEAN region.

The Area Head of Legal Affairs, ASEAN l will manage a team of legal professionals who are responsible for supporting legal and regulatory matters, and for supporting commercial deals with public sector customers. They will also manage a National Security lead that manages responses to security incidents and government and customer audits and inquiries.

Central to the role will be deep partnerships with internal Microsoft teams. The Area Head of Legal Affairs, ASEAN will be the primary point of contact on legal and regulatory matters for the Area Leadership Team. They will collaborate closely with the CELA Area Ambassador and the Region Deal Team to ensure clear allocation and consistent execution of roles and responsibilities. They will also work as needed with CELA teams including Government Affairs, Compliance & Ethics, Competition, Cloud & Infrastructure, Customer Security & Trust, Trusted Technology and Product & Services Group.

Required Qualifications

• Juris Doctor (JD) or equivalent legal degree AND 6+ years of legal experience with deep understanding/exposure to ASEAN region.
  • OR equivalent experience.
• Active license to practice law in a jurisdiction and capable of meeting admission requirements in relevant jurisdiction.
• Proven track record in corporate and commercial law, regulatory compliance, and/or litigation management.
• Excellent communication, negotiation, and stakeholder management skills.

Preferred Qualifications

• Ideally 10 years of legal experience, including leadership/people management responsibilities.
• Experience working in a multinational corporation and/or technology sector is preferred.
• Strong learning agility, astute business acumen and ability to provide pragmatic legal advice.

#CELA

• Lead and manage the Area legal team and national security team, fostering a high-performance culture aligned with Microsoft’s values.
• Provide strategic legal counsel to senior sales leadership and business units on a wide range of legal and regulatory issues. Help shape strategy and execution of strategic sales priorities.

• Responsibly leverage outside counsel resources to drive budget efficiencies.
• Collaborate with regional and global legal teams to land Microsoft’s global objectives within the Area-specific context, and to drive cross-border projects including CELA Customer and Partner Solutions strategic priorities.
• Represent Microsoft in interactions with senior external stakeholders, including regulators, senior legal officers for private and public sector customers, industry bodies, and legal industry leaders.

Key Responsibilities

Trust & Fiduciary Services (70-80% of role)

• Draft, review, and negotiate trust deeds, wills, powers of attorney, and other fiduciary documents
• Provide expert legal advice on trust establishment, administration, and termination
• Support complex trust restructuring and succession planning initiatives
• Advise on beneficiary rights, trustee duties, and fiduciary obligations
• Handle trust dispute resolution and litigation management when required

Multi-Jurisdictional Compliance

• Provide strategic compliance advice on trust structures governed by Singapore, Jersey, Hong Kong, BVI, and Cayman Islands laws

Legal Credentials

• 4-8 years of post-qualification experience (PQE) with substantial focus on trusts, private client law, or fiduciary services
• Admission to Singapore Bar or ability to obtain admission preferred

Professional Experience

• Prior experience at a reputable trust company, family office, or international law firm serving high-net-worth clients
• Demonstrated track record in trust structuring, estate planning, and wealth management
• Experience with multi-jurisdictional trust arrangements and cross-border regulatory compliance
• Background in handling complex family succession planning and dispute resolution preferred

Technical Expertise
