Main purpose of the job
The Procurement Corporate Counsel for Global Procurement is responsible for providing expert legal advice on procurement matters, including contracts and negotiations. This includes drafting and reviewing supply agreements and leading negotiations to ensure legal soundness and compliance. The role involves coordinating legal work with regional colleagues, overseeing the development of procurement contract templates, and promoting best practices across the organization. Ultimately, they serve as an essential conduit between legal and procurement functions, ensuring a robust governance and risk management framework.
Accountabilities and deliverables
- Provide expert legal advice on various procurement matters including contracts, negotiations, and supplier relations. Support the creation of procurement strategies by providing legal insights.
- Provide advice to the Global Procurement function on general contractual issues, including drafting and reviewing supply agreements to ensure they are legally sound, comply with internal policies, and maximize value for the organization.
- Lead negotiations on key supply agreements and provide negotiation support to the Global Procurement function.
- Coordinate legal work and collaborate with AGH/regional Legal colleagues as necessary.
- Manage development and maintenance of procurement contract templates and co-ordinate best practices
- Design and deliver training programs, including these related to contract and negotiation issues, to the Global Procurement function, and co-ordinate delivery of relevant trainings to regional Procurement teams (working with Regional Legal, Procurement and HR teams as necessary).
- Drive strong legal and business governance, acting as a point of escalation for issues, and design, implement, and drive compliance with robust internal approval processes for contracts and supply strategies
- Deliver dispute resolution (for Global Procurement contracts or supplier claims), implement robust and proportionate risk management processes within Procurement, and manage external lawyers as required (in support of Procurement function objectives).
- Maintain awareness of, and provide advice on, relevant legal or regulatory developments.
- Partner with stakeholders to embed legal risk management into enterprise-wide initiatives, including responsible sourcing, ESG, and digital transformation priorities.
Requirements
- Appropriate University degree.
- Qualified lawyer.
- Approximately 5-9 years of post-qualification experience.
- Commercial contracts experience, with relevant experience in law firm and/or multi-national in house environment preferred.
- Experience in procurement and supply chain work is a strong preference.
- Singapore and English/Common law contract experience is required; knowledge of other Legal systems would be an advantage.

What You'll Do
As a Corporate Counsel reporting to the General Counsel, you’ll advise on the company’s international and domestic mergers, acquisitions, joint ventures, investments and other strategic partnerships, and drive internal corporate legal operations. You’ll be a key contributor to Reap’s in-house legal team, with the opportunity to shape the way legal supports the business and drive strategic impact in a fast-paced, purpose-driven start-up environment.
Specifically, You'll Be Responsible For The Following
Leading M&A and strategic investment transactions: Draft, review and negotiate transaction documents, such as SAFE/SAFTs, share and asset subscription/purchase agreements, shareholder agreements and other investment term sheets and letters of intent; while collaborating closely with internal stakeholders to handle structure analyses, deal execution, and ensure alignment with Reap’s strategic and commercial objectives.
Overseeing due diligence processes and liaising with external counsel: Supervise and coordinate due diligence reviews, analyse due diligence findings, and liaise with external counsel where necessary.
Providing post-investment legal support: Manage signing and closing processes, assist with post-closing integration tasks, ongoing portfolio company management, and ensure compliance with investment terms and corporate governance protocols.
Driving internal corporate legal operations: Manage Reap’s global corporate governance matters such as capitalization table administration, ESOP program documentation, intercompany agreements, and cross-border subsidiary maintenance and filings; ensure Reap’s internal legal infrastructure evolves to support Reap’s expansion strategies amidst evolving regulatory landscapes.
Handling general corporate legal matters: Draft, review and negotiate commercial contracts, support vendor and counterparty due diligence processes, and oversee ongoing legal relationships with key partners, suppliers and service providers to ensure compliance with Reap’s internal policies and regulatory requirements.
What We're Looking For
Qualified to practise law in Hong Kong or other common law jurisdictions.
3-6 years PQE with a focus on corporate transactions. Solid experience in M&A is mandatory.
In-house experience in a start-up environment and/or fintech or web3 industry is a plus.
Excellent command of spoken and written skills in English.
Familiarity with both onshore and offshore deal structures and regulatory frameworks.
Strong project management, organization, negotiation and communication skills, with good business sense and strong legal analytical skills.
Comfortable working independently in a fast-paced, growth-stage environment and ability to navigate legal ambiguity.
