$7,500 to $9,000 Monthly 7 applications Posted 03 May 2024 Closing on 02 Jun 2024Tatung Sustainability Development Holdings (Singapore) Pte Ltd is seeking a highly skilled and experienced Legal Counsel to join our team in Singapore. As the first legal hire in Singapore, you will play a pivotal role in shaping the legal framework of the company. You will provide strategic legal advice and support to our holding companies and subsidiaries, ensuring compliance with local laws and regulations in Singapore, China, Taiwan, Indonesia, and Europe.
Responsibilities:
· Legal and Commercial Agreements: Review, draft, and negotiate a broad range of legal and commercial agreements, including complex cross-border financing transactions, partnership and investment agreements, fundraising, vendor agreements, and client contracts, ensuring alignment with legal requirements, company policies, and industry best practices.
· Legal Strategy and Negotiations: Assist in negotiations and advise on legal strategies, particularly for potential mergers and acquisitions, and subscription of interests in promising ventures.
· Compliance: Work closely with business units to identify, analyze, and mitigate legal risks. Monitor and analyze changes in laws and regulations impacting the industry and advise on compliance requirements. Lead the company's efforts in regulatory compliance.
· External Counsel Coordination: Work alongside external counsel and manage support from foreign legal counsels as necessary. Strategize and execute the legal groundwork for the company’s future expansion plans.
· Policy Development and Implementation: Contribute to the development and implementation of company policies and procedures, ensuring they adhere to legal and regulatory requirements. Coordinate and execute the company’s internal policies for good corporate governance and regulatory compliance.
· Legal Research and Support: Conduct legal research to support various business functions and decision-making processes. Manage all labor law-related matters for the local Singapore office and review HR policies.
· Corporate Communications: Review the company’s corporate communications, including governance reports, marketing and branding, and assist with media communications.
Requirements:
· Bachelor of Laws (LLB) degree or J.D. degree. Post-graduate degree in Singapore Law or Common Law preferred.
· Minimum 5 years of post-qualified experience, with a litigation background being an added advantage.
· Proficiency in MAS regulations and guidelines.
· Strong knowledge in data protection, intellectual property, and privacy laws.
· Experienced in a regional role, notably in Asian countries like Singapore, Taiwan, China, and Europe.
· Preferably being called to the Singapore Bar.
