Legal Counsel (M&A and Corporate/Commercial)

As a Legal Counsel within the Bank’s Legal Department, you will operate in a high-octane environment, facilitating the day-to-day structuring and implementation of a broad range of legal strategies. This role is designed for a seasoned professional with experience in Financial Institutions (FIs) and is capable of balancing technical legal precision with the commercial realities of a digital banking ecosystem.


You will work directly with senior legal professionals to provide regulatory advisory on complex procurement, lead negotiations for intra-group transactions, M&As, and oversee the legal framework for product launches and strategic partnerships.


Role & Responsibilities

You will represent the Legal team in bank-wide projects, collaborating with cross-functional teams (Product, Data, Tech, Risk, and other control functions) to build a robust control function. Your core responsibilities include:

  • Strategic Advisory: Provide high-level legal support to the Bank and its regional affiliates, ensuring alignment with both local and regional regulatory expectations.
  • M&A & Corporate Transactions: Lead and assist in corporate exercises, including M&A activities, strategic investments, and joint ventures/ collaborations within the fintech and banking space.
  • Commercial Negotiation: Draft, review, and negotiate complex transactional documents, including tech procurement (SaaS/PaaS), partnership agreements for digital ecosystems, and sophisticated intra-group regional service agreements.
  • Digital Banking Focus: Advise on the legal nuances of launching and scaling digital banking products, specifically regarding information technology, data protection (PDPA), and intellectual property.
  • Dispute & Risk Management: Manage legal disputes and provide guidance on corporate governance, ensuring the Bank’s interests are protected in contentious matters.
  • Innovation & Automation: Identify and implement legal technology solutions (AI-based tools, document automation) to streamline the legal workflows.
  • External Counsel Management: Liaise and coordinate with external law firms, ensuring cost-effective and high-quality delivery of specialized legal services.


Job Requirements and Qualifications

The ideal candidate must be a commercially-minded lawyer who has successfully transitioned from private practice to an in-house environment.

  • Bachelor of Laws (LLB) or equivalent from a reputable university.
  • Admitted to the Singapore Bar (or equivalent common law jurisdiction).
  • 3 to 5 years of Post-Qualification Experience (PQE) and minimum of 2–3 years of in-house experience, specifically within a Financial Institution (Bank, MAS-regulated entity, or Fintech).
  • Proven track record in M&A and general corporate/commercial law.
  • Deep familiarity with tech-related legal issues, including data privacy and IP.
  • Previous exposure to the regulatory landscape governing banks in Singapore.
  • Adaptability: Success in thriving within "VUCA" (Volatile, Uncertain, Complex, Ambiguous) environments.
  • Collaboration: A team player with the ability to influence stakeholders across different business units.
  • Communication: Exceptional drafting skills and the ability to translate complex legal risks into actionable business advice.

Job Description

Reporting to the Senior Credit Underwriter & Approval Lead (SME), this role is responsible for the end-to-end credit assessment of complex SME transactions. You will focus on performing deep-dive credit reviews, structuring facilities, and identifying early warning signals within the SME portfolio.


Job Responsibilities

  • Credit Assessment: Perform high-quality, end-to-end credit assessments for complex SME transactions, ensuring they align with the bank's risk appetite.
  • Portfolio Monitoring: Conduct deep-dive credit reviews of individual high-value obligors to identify early warning signals and potential risks.
  • Facility Structuring: Negotiate and structure credit facilities with Business Units to achieve an optimal balance between risk and reward.
  • Risk Mitigation: Support the optimization of the NPL rate, approval rate, and customer experience trade-offs.
  • Collaborative Modeling: Work with the Models Development team to provide business insights for the development and refinement of SME credit models.
  • New Product Support: Assist the SME business function in assessing the risks of new products, programs, and test initiatives.
  • Reporting & Compliance: Maintain awareness of the Singapore regulatory landscape and assist in regulatory or business stress tests.
  • Thematic Reviews: Conduct independent or thematic reviews of the SME portfolio as required.


Requirements

  • Experience: 5–10 years of experience in the Singapore Micro and Small Enterprises space, specifically focusing on companies with SGD 1M–100M turnover .
  • Underwriting Track Record: Proven experience in underwriting cases and exercising a Delegated Lending Authority (DLA) in the Singapore SME banking space.
  • Decision Making: Demonstrated ability to make independent credit decisions and defend risk positions to senior management or credit committees.
  • Product Knowledge: Strong understanding of SME products, including Invoice, Purchase Order, Hire Purchase, and Property-backed financing .
  • Technical Literacy: Experience with risk identification, risk models, and ideally exposure to ML/Artificial Intelligence models.
  • Market Insight: Good understanding of the Singapore economy and current economic trends impacting local SMEs.
  • Education: Tertiary degree in a related field; a degree in a quantitative field is an added advantage.
  • Soft Skills: Strong communication and presentation skills, with the "gravitas" to challenge decisions made by stakeholders when necessary.

About the Role

The Collections Analyst will manage an assigned portfolio of business banking accounts to drive optimal recovery rates and minimize delinquency. You will be instrumental in collaborating with cross-functional partners—such as Credit Risk, Legal, and external agencies—executing recovery strategies that reflect our values, and ensuring the successful resolution of delinquent accounts. Job Responsibilities:

  • Manage and execute daily collection activities and account assignments within the assigned Commercial portfolio to meet recovery targets.
  • Handle moderately complex collection and recovery cases, escalating highly sensitive matters to senior team members when necessary.
  • Apply strong negotiation skills and maintain up-to-date knowledge of regulatory compliance requirements during all customer interactions.
  • Ensure strict adherence to legal, regulatory, and internal policy guidelines across all personal collection activities.

  • Support system enhancement projects by participating in User Acceptance Testing (UAT) and documenting system issues.



Requirements:

  • 1–3 years of experience in credit collections, recovery, or credit risk operations within a bank or financial institution.
  • Solid understanding of the collections and recovery lifecycle, specifically within the commercial or corporate sector.
  • Strong analytical skills with the ability to interpret data, track delinquency trends, and compile portfolio reports.
  • Excellent communication and negotiation skills, with a proven track record of handling difficult customer conversations professionally.
  • Highly collaborative team player with the ability to work effectively across different departments.
  • Prior experience coordinating with external vendors or assisting with legal recovery processes is an advantage.
